Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Villa d'Este website (the “Site”) operated by Villa D'este Construction LLC (“Villa d'Este,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

The Site provides information about our home construction and renovation services and allows visitors to submit inquiries. The Site is a marketing and informational tool. Nothing on the Site constitutes an offer, contract, warranty, or binding commitment to provide construction services.

Any construction, renovation, or related services we perform are governed exclusively by a separate written agreement executed between you and Villa D'este Construction LLC. In the event of any conflict between the Site and such a written agreement, the written agreement controls.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Site. By using the Site, you represent that you meet these requirements.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to any part of the Site, its servers, or connected systems;
• Introduce viruses, trojans, worms, or other malicious code;
• Scrape, harvest, or otherwise collect information from the Site through automated means without our prior written consent;
• Impersonate any person or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the Site or servers or networks connected to the Site;
• Use the Site to transmit unsolicited commercial communications.

The Site and its original content, features, and functionality — including text, graphics, logos, images, and software — are and will remain the exclusive property of Villa D'este Construction LLC and its licensors, and are protected by copyright, trademark, and other laws of the United States and other jurisdictions.

You may not copy, reproduce, republish, distribute, modify, or create derivative works from any content on the Site without our prior written permission, except that you may view and print content for your personal, non-commercial use.

When you submit information through the Site (such as through our contact form), you represent that the information is accurate and that you have the right to provide it. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process the submitted information for the purposes described in our Privacy Policy.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Images, project descriptions, timelines, pricing estimates, and other information on the Site are representational and for illustrative purposes only. Actual project scope, timelines, costs, materials, and results will vary and are determined solely by the written agreement between you and Villa d'Este.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VILLA D'ESTE CONSTRUCTION LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to defend, indemnify, and hold harmless Villa D'este Construction LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.

The Site may contain links to third-party websites or services that are not owned or controlled by Villa d'Este. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

Before filing any claim, you agree to first contact us at vdeste@hotmail.com and attempt to resolve the dispute informally. If a dispute cannot be resolved within thirty (30) days, either party may pursue the claim in the courts identified in Section 12.

We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page with a revised “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Villa d'Este regarding your use of the Site and supersede any prior agreements.
